Acceptance of Terms

Our total liability to you for any claims arising from or related to our services shall not exceed the amount paid by you to Uplixes for the specific services giving rise to the claim during the twelve months preceding the claim.

However, we cannot guarantee specific results or outcomes from our recommendations, as implementation success depends on various factors beyond our control.

Payment Terms

Payment terms for consulting services will be specified in individual service agreements. Generally, we require payment within 30 days of invoice date unless otherwise agreed in writing. Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

All fees are exclusive of applicable taxes, which shall be the responsibility of the client. We reserve the right to suspend services for accounts that are overdue until payment is received.

Termination

Either party may terminate a consulting engagement with written notice as specified in the relevant service agreement. Uplixes reserves the right to terminate or suspend access to our website and services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the terms.

Upon termination, your right to use our services will cease immediately. All provisions of these terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, and limitations of liability.

In the event of termination of a consulting engagement, you will be responsible for payment of all services rendered up to the date of termination, and we will deliver all completed work products as of the termination date.

Changes to Terms

Uplixes reserves the right, at our sole discretion, to modify or replace these terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using our services.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and Uplixes regarding the use of our services and supersede all prior and contemporaneous written or oral agreements between you and Uplixes.

No waiver of any term or condition set forth in these terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision.
